1. Acceptance of Terms
These Terms of Service (the "Terms") govern your access to and use of the software products, APIs, developer tooling, documentation, and related infrastructure services (collectively, the "Services") provided by Maildep Ltd ("Maildep", "we", "us"). By accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are accepting these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with these Terms, do not access or use the Services.
2. Services Overview
Maildep builds and maintains software infrastructure for intelligent email automation, cryptocurrency payment processing, marketplace enablement, and related developer workflows. The Services include platform code, orchestration dashboards, connectors, SDKs, and deployment templates that you operate within your own environments or third-party hosting providers.
We supply the Services strictly as software-building blocks and infrastructure tooling. Maildep is not a financial services provider, money transmitter, payment institution, or fiduciary. We do not intermediate or guarantee any financial transaction you conduct using the software.
3. Accounts and Access
You may need to register for an account or obtain API credentials to access certain features. You agree to provide accurate registration information and to keep your credentials secure. You remain responsible for all activity that occurs under your accounts, including any activity performed by your employees, contractors, or systems that you configure to use the Services.
Maildep may suspend or revoke access if we reasonably believe that your use violates these Terms, applicable law, or presents a security risk to the Services or other users.
4. Customer Responsibilities
You control how the Services are deployed, configured, and integrated with your infrastructure, third-party systems, and data sources. You are solely responsible for: (a) the security, operation, and maintenance of your environments; (b) ensuring your configurations comply with applicable laws, regulations, and industry standards; (c) backing up your data and performing disaster recovery planning; and (d) validating outputs produced through automation or AI-driven workflows before relying on them.
You must ensure that your end users, customers, and partners receive appropriate disclosures and obtain any consents required under privacy, consumer protection, or financial regulations for your activities.
5. Acceptable Use
You will not use the Services to engage in, encourage, or promote illegal activity, the exploitation of security vulnerabilities, or interference with the operation of any network or service. You will not misrepresent or mask the origin of data processed through the Services, nor will you attempt to bypass any rate limits, authentication gates, or usage policies we publish.
You agree not to use the Services to build, train, or deploy models or automations that infringe intellectual property rights, violate privacy rights, disseminate malicious code, or facilitate harassment or abuse.
6. Third-Party Services
The Services may interoperate with third-party infrastructure, APIs, or marketplaces ("Third-Party Services"). You are solely responsible for enabling and configuring any such integrations, and for complying with the terms that govern those Third-Party Services.
Maildep does not control and is not responsible for Third-Party Services. We do not endorse, warrant, or assume liability for any Third-Party Service, integration, or external dataset that you choose to use alongside the Services.
7. Infrastructure Only; No Financial Advice
Maildep provides infrastructure software and developer tooling. We do not provide financial, investment, tax, legal, or accounting advice. Any financial use case you build with the Services remains solely your responsibility.
You acknowledge that Maildep does not custody funds, process settlements, or act as your agent. All transactions or communications initiated using the Services occur directly between you and the counterparties you designate.
8. Security and Incident Response
Maildep applies commercially reasonable safeguards to protect the integrity of the Services. However, you control your deployments and data pipelines. You must implement appropriate security, access controls, encryption, key management, monitoring, and logging for your systems.
You agree to promptly notify us of any security incident involving the Services that could impact Maildep or other users. We may request information reasonably necessary to evaluate and mitigate the incident.
9. Intellectual Property
Maildep retains all right, title, and interest in and to the Services, including all related intellectual property rights and improvements. No rights are granted except as expressly set forth in these Terms.
Subject to these Terms, Maildep grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not copy, modify, distribute, sell, lease, or sublicense the Services except as permitted in writing by Maildep.
10. Feedback
If you provide suggestions, ideas, or feedback regarding the Services ("Feedback"), you grant Maildep a worldwide, perpetual, irrevocable, royalty-free license to use and exploit the Feedback for any purpose without restriction. Maildep is not obligated to incorporate Feedback into the Services.
11. Warranties Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAILDEP DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Maildep does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components. You assume all risk for the results and performance of any workflows, automations, or third-party integrations you enable using the Services.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MAILDEP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MAILDEP'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO MAILDEP FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
13. Indemnification
You will defend, indemnify, and hold harmless Maildep and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.
14. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, if we reasonably believe your use may harm the Services, other users, or expose Maildep to liability, or if we are required to do so by law or a regulator.
Upon termination, your right to access the Services immediately ceases. Provisions that by their nature should survive termination (including Sections 7 through 17) will remain in effect.
15. Confidentiality
Each party may receive confidential information from the other in connection with the Services. The receiving party will protect the disclosing party's confidential information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.
Confidential information does not include information that is publicly available, already known to the receiving party, independently developed without use of the confidential information, or lawfully disclosed by a third party.
16. Export and Compliance
You agree to comply with all applicable export control, embargo, and sanctions laws. You may not use or export the Services in violation of United Kingdom, United States, European Union, or other applicable jurisdictions' export regulations.
You are solely responsible for compliance with any financial, securities, or industry-specific regulations applicable to your use case. Maildep does not monitor or audit your compliance obligations.
17. Modifications to the Services
Maildep may update, enhance, or deprecate features to improve performance, security, or usability. Where practicable, we will provide notice of material changes that impact existing functionality. Continued use of the Services after changes take effect constitutes acceptance of the updated Services.
We may also update these Terms from time to time. We will provide notice of material modifications, and your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
18. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, without regard to conflicts of law principles. The courts of England and Wales will have exclusive jurisdiction to resolve disputes arising out of or related to these Terms, and each party consents to that jurisdiction and venue.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property.
19. Miscellaneous
The failure of Maildep to enforce any right or provision will not constitute a waiver of such right or provision. If any part of these Terms is held invalid or unenforceable, the remaining portions will remain in full force and effect.
You may not assign these Terms without Maildep's prior written consent. Maildep may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
